Working as a Contractor

Independent contractors are engaged for a defined scope of work under an Independent Contractor Agreement (ICA). This page summarises how those engagements run; the signed ICA always governs.

The engagement

  • Scope is written. The services, deliverables and timeline are stated in the agreement. Do not deviate from scope without prior written approval — and do not accept scope changes informally.
  • Milestone-based compensation. The standard shape is a fixed fee paid against milestones — typically a portion on execution and the balance on completion, as stated in your agreement. Work commences on receipt of the initial payment.
  • Timelines are commitments. The agreed timeline is adhered to; missing milestones without reasonable justification is a material breach of the agreement, not just a scheduling problem.

Your responsibilities

  • Independence. You are not an employee, agent or representative of Cuesoft, and you cannot bind the company to anything.
  • Taxes. You are solely responsible for your own taxes (income tax, VAT, withholding and other statutory levies) on compensation received.
  • Equipment. You provide and maintain your own equipment, software and tools.
  • Expenses. Reasonable, necessary expenses are reimbursable only when pre-approved in writing; submit expense reports with documentation within 3–5 days of incurring them.
  • Confidentiality and data. The confidentiality policy applies in full, and personal data you touch must be handled per the data-protection policy.

Intellectual property

Everything created in connection with the services — designs, code, documentation, inventions — is assigned to Cuesoft (or, on client work, to the client per that engagement's terms). See the intellectual property policy.

Ending an engagement

Either side may terminate with 30 days' written notice (or as your agreement states). On termination: stop work, hand over all work product and company materials, and Cuesoft pays for services rendered to the date of termination.
